Please read these Terms of Service carefully before accessing or using the Platform. By accessing, registering for, or using the Platform or any related services, you agree to be bound by these Terms of Service and all policies incorporated into them by reference. If you do not agree to these Terms of Service, you must not access or use the Platform.We may revise, update, suspend, limit, or discontinue any part of the Platform or the Services at any time, with or without notice, to the extent permitted by applicable law. Your continued use of the Platform after any updated Terms become effective constitutes your acceptance of the revised Terms.

In these Terms, “Z2U,” “Z2LIVE,” “we,” “us,” and “our” mean Z2LIVE, INC., the operator of the Platform.
2. Scope of These Terms
These Terms govern your access to and use of the Platform, including any website, mobile site, mobile application, tools, systems, features, support channels, content, and transaction-facilitation services made available by us.
These Terms also apply together with any additional policies, product rules, listing standards, dispute rules, refund rules, privacy notices, seller requirements, buyer protection rules, and other guidelines published on the Platform from time to time. Those materials are incorporated into these Terms by reference.
3. Nature of the Platform
The Platform is an online marketplace that enables users to list, offer, buy, sell, trade, or otherwise transact in digital goods and services, including but not limited to game accounts, virtual items, gaming currencies, top-ups, software-related accounts, digital subscriptions, and other digital services.
Unless expressly stated otherwise, Z22U acts solely as a marketplace operator and technology service provider. Z22U is not the manufacturer, original issuer, creator, distributor, reseller, or end provider of goods or services offered by third-party sellers on the Platform.
Any contract for the purchase or sale of goods or services listed by a seller on the Platform is made directly between the buyer and the seller. Z2U’s role is limited to providing the marketplace environment, order workflow, payment-facilitation integrations, support processes, and dispute-handling procedures described in these Terms and related policies.
4. Eligibility
You may use the Platform only if you are legally permitted to do so under applicable law.
By using the Platform, you represent and warrant that:
a. you are at least 18 years old, or you are under 18 and are using the Platform with the permission and supervision of a parent or legal guardian;
b. you have the legal capacity to enter into binding contracts;
c. you are not located in, ordinarily resident in, or otherwise subject to any jurisdiction restricted by applicable sanctions, trade controls, embargoes, or other legal prohibitions;
d. you are not listed on any applicable sanctions, denied-party, terrorist, or restricted persons list; and
e. your use of the Platform does not violate any law, regulation, contractual restriction, or third-party right.
We may restrict or deny access to the Platform in any jurisdiction or to any person at our discretion where we determine that legal, compliance, fraud, operational, or reputational risk exists.
5. Account Registration
To access certain features of the Platform, you must create an account.
When registering an account, you agree to:
a. provide true, accurate, current, and complete information;
b. keep your registration details updated at all times;
c. maintain the confidentiality of your login credentials; and
d. accept responsibility for all activity occurring under your account.
You are solely responsible for safeguarding your username, password, device access, authentication methods, backup credentials, and any other account security information. Any action taken through your account may be treated as authorized by you unless we determine otherwise in our sole discretion.
You must notify us promptly if you believe your account has been compromised, accessed without authorization, or used in a manner inconsistent with these Terms.
6. Account Verification and Compliance Checks
To protect users, prevent fraud, support platform integrity, and comply with applicable law, we may require identity verification, age verification, payment verification, address verification, device verification, source-of-funds verification, or other due diligence measures.
You authorize us, directly or through third-party providers, to conduct know-your-customer, anti-fraud, sanctions, anti-money laundering, and related compliance checks where appropriate.
We may request documents, images, declarations, payment confirmations, or other records at any time. If you do not complete a requested verification process in a timely and satisfactory manner, we may delay, reject, limit, suspend, or cancel any transaction, payout, listing, or account access.
7. One Account Rule and Account Integrity
Unless expressly approved by us in writing, each person may maintain only one personal account and, where permitted by the Platform, one or more approved business or seller profiles connected to that account structure.
You may not:
a. create accounts using false identities;
b. impersonate another person or entity;
c. create accounts to evade restrictions, suspensions, dispute outcomes, or compliance checks; or
d. transfer or sell your account without our prior written consent.
We may suspend, merge, restrict, or terminate duplicate, misleading, unauthorized, or fraudulent accounts at any time.
8. Buyer Terms
As a buyer, you are responsible for reviewing all listing information carefully before placing an order. You acknowledge that digital goods and services may carry product-specific risks, platform limitations, region restrictions, publisher restrictions, transfer limitations, or usage conditions.
By placing an order, you agree that:
a. you are responsible for confirming that the listing matches your intended use;
b. you will complete payment using an approved payment method;
c. you will cooperate in any reasonable verification or fraud-prevention process;
d. you will inspect, test, and confirm delivery promptly; and
e. you will raise any dispute, non-delivery claim, or mismatch claim within the applicable time period stated on the Platform or in our policies.
If you fail to confirm delivery or raise a valid dispute within the applicable timeframe, the transaction may be deemed completed and the seller may become entitled to payment release, subject to our policies.
9. Seller Terms
As a seller, you represent, warrant, and undertake that:
a. you have all rights, licenses, authority, and permission necessary to offer the listed goods or services;
b. your listings are accurate, complete, lawful, and not misleading;
c. the goods or services will be delivered in the stated manner and within the promised delivery time;
d. the goods or services will materially conform to the listing description;
e. you will not misrepresent ownership, quality, region, access rights, warranty status, or transferability; and
f. you will comply with all applicable laws, platform rules, and category-specific requirements.
Sellers must not attempt to take transactions off-platform, solicit direct payment outside the Platform, manipulate reviews, abuse dispute processes, or use deceptive fulfillment methods.
We may remove listings, impose listing restrictions, require supporting documents, place payment holds, reduce category permissions, or suspend seller privileges where we believe risk, non-compliance, or policy violations exist.
10. Prohibited Listings and Activities
You must not use the Platform for unlawful, infringing, deceptive, abusive, or harmful conduct.
Without limitation, the following are prohibited:
a. fraud, scams, impersonation, or deceptive practices;
b. stolen, hacked, unauthorized, or illegally obtained accounts, items, credentials, or assets;
c. malware, malicious code, phishing content, or harmful links;
d. infringement of intellectual property, privacy, publicity, or contractual rights;
e. listings that are false, misleading, inaccurate, or materially incomplete;
f. interference with the proper operation, security, or integrity of the Platform;
g. scraping, data mining, unauthorized automation, reverse engineering, or circumvention of protective measures;
h. money laundering, sanctions evasion, payment abuse, or chargeback manipulation;
i. harassment, abuse, threats, defamation, or objectionable content; and
j. any other activity we determine may expose the Platform, our users, service providers, or partners to legal, operational, financial, or reputational harm.
11. Payments and Payment Providers
Payments on the Platform may be processed through third-party payment processors, payment gateways, banking partners, wallet providers, card acquirers, or other financial service providers selected by us or integrated into the Platform.
By making or receiving payments through the Platform, you acknowledge and agree that:
a. third-party payment providers may impose their own terms, restrictions, fees, verification requirements, and compliance procedures;
b. we may share transaction-related information with those providers as necessary to process payments, prevent fraud, manage disputes, and comply with law;
c. payments may be delayed, reversed, rejected, or held due to fraud screening, verification issues, chargeback risk, legal requirements, or technical failures; and
d. you are responsible for any taxes, duties, exchange charges, processor fees, bank fees, or similar costs associated with your transactions unless expressly stated otherwise on the Platform.
12. Fees
We may charge platform service fees, listing fees, transaction fees, processing fees, currency conversion fees, payout fees, dispute-handling fees, reserve deductions, or other fees in connection with the use of the Platform.
Applicable fees may be shown in the listing flow, checkout flow, payout flow, help center, seller dashboard, or other policy pages. We may revise our fee structure at any time in accordance with these Terms.
You authorize us and our payment providers to deduct fees, reserves, refunds, reversals, penalties, or other amounts owed to us from transaction proceeds, payouts, wallet balances, or any other amount otherwise payable to you, to the extent permitted by law.
13. Order Completion, Delivery Confirmation, and Acceptance
The seller is responsible for completing delivery in accordance with the listing terms. The buyer is responsible for reviewing and confirming receipt promptly.
An order may be treated as completed when any of the following occurs:
a. the buyer expressly confirms receipt;
b. the buyer fails to dispute or report a delivery issue within the applicable review window;
c. the platform determines, based on available evidence, that delivery was completed substantially as described; or
d. a dispute is resolved in favor of completion under our policies.
Once an order is treated as completed, funds may be released or scheduled for release to the seller, subject to payment provider rules, reserve policies, dispute rules, and compliance requirements.
14. Refunds, Reversals, and Cancellations
Unless otherwise required by law or expressly provided in our policies, digital transactions on the Platform may be final once fulfilled.
A refund, reversal, or cancellation may be allowed where, for example:
a. the buyer did not receive the purchased item or service;
b. the delivered item or service materially differs from the listing description;
c. access credentials are invalid at the time of delivery and the seller does not cure the issue within a reasonable period;
d. the seller is unable to complete the order;
e. the transaction is canceled under platform rules; or
f. we determine that fraud, error, abuse, or other exceptional circumstances justify reversal.
We may request screenshots, chat records, login evidence, delivery proof, video proof, device information, timestamps, or other documentation when reviewing a claim.
Opening a dispute does not guarantee a refund. We reserve the right to determine the appropriate outcome, including partial refund, full refund, replacement opportunity, credit, order cancellation, or denial of the claim, based on the available evidence and our policies.
15. Seller Reserves, Holds, and Delayed Payouts
We may place reserves, rolling holds, delayed payout conditions, temporary freezes, or other risk controls on seller proceeds where we believe such measures are necessary or appropriate.
These controls may be used in connection with, among other things:
a. fraud risk;
b. account age or transaction history;
c. dispute frequency;
d. chargebacks or payment reversals;
e. unusual order patterns;
f. policy violations;
g. high-risk product categories; or
h. legal or regulatory requirements.
We may change the timing of payout release, retain funds pending review, or offset amounts owed to us or to users affected by disputes, refunds, chargebacks, fines, or policy enforcement actions.
16. User Content and Listing Content
You are solely responsible for all information, content, images, text, descriptions, data, communications, and other materials that you upload, publish, transmit, submit, or otherwise make available on or through the Platform.
By submitting content to the Platform, you represent and warrant that:
a. you own the content or have the necessary rights to use and authorize us to use it;
b. the content is accurate and not misleading; and
c. the content does not violate these Terms or any law or third-party right.
You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, adapt, publish, distribute, and use such content as necessary to operate, improve, promote, secure, and administer the Platform and Services.
17. Platform Intellectual Property
The Platform, including its software, systems, architecture, text, design, graphics, interfaces, databases, trademarks, logos, service marks, selection and arrangement of content, and all related intellectual property rights, are owned by or licensed to Z2LIVE, INC. and are protected by law.
Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, transmit, display, republish, create derivative works from, reverse engineer, decompile, disassemble, or otherwise exploit any part of the Platform without our prior written consent.
18. Privacy and Data Use
We may collect, use, store, process, transfer, and disclose personal information in accordance with our Privacy Policy and applicable law.
By using the Platform, you consent to the processing of your information for purposes including account administration, transaction processing, identity verification, fraud prevention, compliance, dispute handling, customer support, analytics, product improvement, and communications relating to the Platform.
You are responsible for ensuring that any personal data you provide to us or share through the Platform is lawfully obtained and lawfully disclosed.
19. Communications
You consent to receive communications from us electronically, including by email, platform notification, SMS, in-app message, or other electronic means, where permitted by law.
These communications may include transactional notices, security alerts, account updates, legal notices, policy changes, verification requests, customer service messages, and promotional communications where permitted by law or where you have consented.
You are responsible for keeping your contact information current and for monitoring your registered email address and account notifications.
20. Service Availability and Technical Issues
We do not guarantee that the Platform will be uninterrupted, secure, error-free, or available at all times.
The Platform may be unavailable from time to time due to maintenance, updates, outages, third-party service interruptions, cybersecurity incidents, capacity limitations, payment-provider downtime, internet failures, or other causes beyond our reasonable control.
We are not liable for losses arising from delays, interruptions, failed transmissions, incomplete processing, technical malfunction, or system unavailability, except to the extent required by applicable law.
21. Disclaimers
To the fullest extent permitted by law, the Platform and all services, content, tools, listings, and information made available through it are provided on an “as is” and “as available” basis.
We do not warrant or guarantee that:
a. the Platform will meet your requirements;
b. any listing is accurate, complete, lawful, authentic, transferable, or error-free;
c. any seller or buyer will perform as expected;
d. any defect or issue will be corrected immediately; or
e. use of the Platform will produce any specific commercial, personal, or technical result.
You acknowledge that digital marketplace transactions can involve risk, including non-delivery, misdescription, publisher restrictions, account recovery, service interruptions, access loss, and other issues beyond our control. You assume those risks to the extent a transaction depends on third-party conduct or third-party systems.
22. Limitation of Liability
To the fullest extent permitted by law, Z2LIVE, INC., its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including damages for lost profits, lost revenue, lost business, lost opportunity, loss of goodwill, loss of data, service interruption, or procurement of substitute services.
To the fullest extent permitted by law, the total aggregate liability of Z2LIVE, INC. arising out of or relating to these Terms, the Platform, or any transaction facilitated through the Platform shall not exceed the lesser of:
a. the total amount of fees paid by you to us in connection with the claim giving rise to liability during the twelve months preceding the event giving rise to the claim; or
b. USD $50.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
23. Indemnification
You agree to defend, indemnify, and hold harmless Z2LIVE, INC., its affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from and against any claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, penalties, fines, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
a. your breach of these Terms or any policy;
b. your use of the Platform;
c. your listings, content, products, services, or transactions;
d. your violation of law or any third-party right; or
e. fraud, negligence, misconduct, or unauthorized activity attributable to you or your account.
24. Suspension, Restriction, and Termination
We may, at any time and in our sole discretion, with or without prior notice, suspend, limit, freeze, deactivate, or terminate your account or access to all or part of the Platform if:
a. you breach these Terms or any policy;
b. we suspect fraud, abuse, deception, or unlawful conduct;
c. we detect unusual activity or platform risk;
d. required verification is not completed;
e. your conduct may cause harm to other users, payment providers, partners, or the Platform;
f. chargebacks, disputes, complaints, or enforcement concerns justify restriction; or
g. we are required to do so by law, court order, regulator, or payment provider.
We may also remove content, cancel listings, delay payouts, retain reserves, or take any other enforcement action we consider appropriate under the circumstances.
25. Effect of Termination
Upon suspension or termination of your account:
a. your right to access or use the Platform may immediately cease;
b. active listings may be removed or hidden;
c. pending transactions may be canceled, frozen, or processed according to our policies;
d. funds otherwise payable to you may be delayed, reserved, offset, or withheld to address refunds, disputes, chargebacks, legal obligations, or risk review; and
e. provisions of these Terms that by their nature should survive termination shall remain in effect.
26. Setoff and Recovery Rights
To the extent permitted by law, we may set off or recover amounts you owe to us from any funds, balances, proceeds, credits, reserves, or other amounts payable to you.
This includes amounts relating to fees, refunds, chargebacks, penalties, reimbursements, policy enforcement, legal claims, or any other obligation arising from your use of the Platform.
27. Changes to the Platform and These Terms
We may add, remove, modify, or replace any feature, function, product category, policy, eligibility rule, or operational process of the Platform at any time.
We may update these Terms by posting the revised version on the Platform or by otherwise notifying you through reasonable means. The updated Terms will take effect on the date stated in the revised version or, if no date is stated, upon posting.
If you do not agree to the revised Terms, you must stop using the Platform. Continued use of the Platform after the effective date constitutes acceptance.
28. Governing Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or the Services shall be governed by the laws of the State of Washington, United States, without regard to conflict of laws principles.
You and Z2LIVE, INC. agree that the state and federal courts located in Washington shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Platform, except where applicable law requires otherwise.
29. Miscellaneous
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted, and the remaining provisions shall remain in full force and effect.
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, to an affiliate, successor, purchaser, or acquirer.
These Terms, together with any policies incorporated by reference, constitute the entire agreement between you and Z2LIVE, INC. regarding the Platform and supersede prior discussions, understandings, or agreements on the same subject matter.
